HEALTHYCHEF TERMS & CONDITIONS

By using the HealthyChef website, mobile application, meal services, nutrition consultation services, or any related offerings, you acknowledge that: • You have read and understood these Terms. • You agree to comply with these Terms. • You are legally capable of entering into a binding agreement. • You consent to the collection and processing of your information in accordance with our Privacy Policy. If you do not agree to these Terms, you must discontinue use of our services. HealthyChef reserves the right to modify these Terms at any time. Continued use of our services after such modifications constitutes acceptance of the revised Terms.

You must be at least 18 years old to independently subscribe to or purchase our services. If services are being used for a minor, the parent or legal guardian accepts full responsibility for compliance with these Terms. Corporate users represent and warrant that they have authority to act on behalf of the organization.

To access certain services, users may be required to create an account using a mobile number, email address, or other credentials. You agree to: • Provide accurate and complete information. • Keep account information updated. • Maintain confidentiality of login credentials. • Accept responsibility for all activities conducted through your account. HealthyChef may suspend or terminate accounts containing false, misleading, or incomplete information.

HealthyChef may provide: • Meal subscription services • Individual meal purchases • Nutrition consultations • Corporate meal services • Wellness programs • Fitness-related nutrition support • Mobile application services • Website-based services HealthyChef reserves the right to modify, discontinue, or introduce services without prior notice.

HealthyChef nutrition consultations are intended solely for educational, wellness, and lifestyle guidance purposes. HealthyChef and its nutritionists: • Are not medical practitioners. • Do not diagnose diseases. • Do not prescribe medications. • Do not replace physicians or medical treatment. • Do not guarantee any medical outcome. Users are strongly advised to consult qualified medical professionals before beginning any nutrition program. Any decisions made based on consultation recommendations are solely the responsibility of the user.

Users are solely responsible for providing accurate information regarding: • Allergies • Medical conditions • Food intolerances • Medications • Pregnancy • Dietary restrictions • Existing health concerns HealthyChef relies entirely upon information provided by the user. HealthyChef shall not be responsible for any adverse outcomes resulting from inaccurate, incomplete, delayed, or omitted disclosures.

HealthyChef prepares meals in facilities that may process: • Dairy • Nuts • Soy • Gluten • Eggs • Sesame • Other allergens Although reasonable precautions are taken, HealthyChef cannot guarantee a completely allergen-free environment. Users with severe allergies consume products at their own discretion and risk.

Subscription plans may be offered for varying durations. HealthyChef reserves the right to: • Modify menus • Replace ingredients • Change recipes • Adjust meal schedules • Alter subscription plans Such changes may occur due to seasonality, supply chain constraints, operational requirements, or quality considerations.

Meal pause, skip, rescheduling, or modification requests must be submitted before the cutoff time communicated by HealthyChef. Requests received after the applicable cutoff time may not be accepted. No retrospective pauses, skips, credits, extensions, or refunds shall be provided. Where complimentary or add-on meals are linked to primary subscriptions, HealthyChef may automatically pause such meals when the related primary meal is paused.

HealthyChef currently delivers within selected serviceable locations. Delivery timings communicated by HealthyChef are estimates only. Delivery delays may occur due to: • Traffic conditions • Weather conditions • Vehicle breakdowns • Operational constraints • Delivery partner shortages • Force majeure events HealthyChef does not guarantee exact delivery times.

Meals shall be deemed successfully delivered when handed over to: • The customer • Family members • Reception staff • Security personnel • Colleagues • Any person present at the delivery location • Any person authorized by the customer HealthyChef shall not be responsible for loss, theft, contamination, spoilage, or misplacement after delivery. If delivery personnel are unable to contact the customer despite reasonable efforts, the delivery may be considered completed.

Users are responsible for proper storage of meals after delivery. Unless consumed immediately: • Meals should be refrigerated promptly. • Meals should be consumed within the recommended timeframe communicated by HealthyChef. HealthyChef shall not be responsible for spoilage, contamination, deterioration, or quality issues arising after delivery due to improper storage or delayed consumption.

Refunds are generally not provided for meal subscriptions. Replacement, extension, or account credit may be considered only if: • Wrong meal delivered • Meal missing • Meal damaged • Meal spoiled at the time of delivery Claims must: • Be submitted within 4 hours of delivery. • Include photographs and relevant details. HealthyChef reserves sole discretion in determining eligibility for replacement, extension, or credits. No refunds or replacements shall be provided for: • Taste preferences • Menu dislikes • Ingredient dislikes • Appearance differences • Colour variations • Portion perception • Missed pause deadlines.

All prices displayed are subject to change without prior notice. HealthyChef reserves the right to correct pricing errors. In the event of an incorrect price display, HealthyChef may: • Cancel the order, or • Request payment of the difference before fulfilment. Users are responsible for ensuring successful payment completion. HealthyChef reserves the right to suspend services for failed or disputed payments.

Users agree to first contact HealthyChef to resolve any payment-related concerns before initiating chargebacks or payment disputes. Fraudulent or abusive chargebacks may result in: • Suspension of services • Account termination • Recovery proceedings • Restriction from future purchases.

HealthyChef may offer referral programs, wallet credits, promotional benefits, or reward programs. HealthyChef reserves the right to: • Modify • Suspend • Cancel any referral or wallet program at any time. Abuse or misuse may result in forfeiture of credits and account suspension.

HealthyChef does not guarantee: • Weight loss • Fat loss • Muscle gain • Disease reversal • Blood sugar improvements • Hormonal improvements • Medical outcomes • Body composition changes Results vary based on numerous factors including: • Genetics • Compliance • Physical activity • Sleep • Stress • Medications • Existing medical conditions Any representations regarding outcomes are illustrative only and not guarantees.

All content on the website, application, meal plans, recipes, designs, logos, trademarks, software, text, graphics, and materials are the exclusive property of HealthyChef or its licensors. Users may not: • Copy • Reproduce • Distribute • Modify • Reverse engineer • Commercially exploit any HealthyChef intellectual property without prior written permission.

Users shall not: • Violate laws. • Misrepresent information. • Abuse staff. • Harass delivery personnel. • Engage in fraud. • Attempt unauthorized access. • Reverse engineer software. • Use automated systems to scrape data. HealthyChef reserves the right to terminate access immediately for violations.

HealthyChef may use third-party providers for: • Payments • Delivery • Messaging • Analytics • Hosting • Consultation scheduling HealthyChef is not responsible for failures, interruptions, or actions attributable to such third-party providers.

By registering with HealthyChef, users consent to receiving: • Calls • SMS messages • WhatsApp communications • Emails • Push notifications related to: • Deliveries • Billing • Consultations • Service updates • Promotional campaigns • Operational communications.

To the fullest extent permitted by law, HealthyChef shall not be liable for any: • Indirect damages • Consequential damages • Special damages • Punitive damages • Lost profits • Lost opportunities • Health-related outcomes arising from use of the services. Under no circumstances shall HealthyChef's aggregate liability exceed the total amount paid by the user to HealthyChef during the preceding 30 days.

Users agree to indemnify and hold harmless HealthyChef, its founders, employees, nutritionists, contractors, affiliates, and partners against any claims, losses, liabilities, damages, costs, or expenses arising from: • Breach of these Terms • Misrepresentation of health information • Misuse of services • Violation of laws • Third-party claims arising from user conduct.

HealthyChef shall not be liable for delays, interruptions, cancellations, or inability to perform obligations due to events beyond reasonable control including: • Natural disasters • Floods • Fires • Pandemics • Epidemics • Government restrictions • Lockdowns • Labour disruptions • Civil unrest • Transportation disruptions • Technology failures.

HealthyChef may suspend or terminate services without notice where users: • Commit fraud • Abuse staff • Repeatedly violate policies • Misuse referral systems • Initiate abusive chargebacks • Engage in unlawful conduct.

These Terms shall be governed by the laws of India.

The parties shall first attempt to resolve disputes through good-faith discussions. If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, Karnataka. The arbitration shall be conducted in English.

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain valid and enforceable.

These Terms, together with the Privacy Policy and any policies incorporated by reference, constitute the entire agreement between the user and HealthyChef.
